Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Walter Grades, Inc., a Delaware corporation ("Walter," "we," "us"). By creating an account or using waltergrades.com or the Walter Grades platform (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. What Walter is — and isn't

Walter is an analytics and data platform. We measure the performance of investment newsletters: we parse the newsletters you authorize, extract their recommendations, track those recommendations against market data, and publish scores and grades produced under a fixed, published methodology.

Walter is not an investment adviser, broker-dealer, or fiduciary, and nothing in the Service is investment advice. We do not recommend, endorse, or promote any newsletter, security, or investment strategy. A grade or score is a measurement, not a recommendation. Performance figures in the Service are hypothetical and modeled under fixed assumptions; they do not represent actual trading in your account, and past performance does not guarantee future results. You are solely responsible for your investment decisions. Consult a licensed professional before making them.

3. Eligibility and your account

You must be at least 18 years old to use the Service. You agree to provide accurate account information and to keep your credentials secure. You are responsible for activity under your account.

4. Plans, billing, and cancellation

The Service offers three plans:

  • Free — sign up, connect the newsletters you already read, and see your verified track record. Does not include Walter Intelligence or Walter Discovery.
  • Walter Intelligence — $4 per month, billed annually ($48 per year).
  • Walter Discovery — $8 per month, billed annually ($96 per year). Includes Walter Intelligence.

All paid plans are billed annually in advance. Subscriptions renew automatically at the end of each annual term unless you cancel first. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. Certain features within a plan launch on the schedule posted on the Service; your plan includes those features as they become available. We will give you notice of any price change before it applies to your renewal.

5. Lifetime Pass

Walter lifetime access ("Lifetime Pass") is sold exclusively through authorized partner promotions and is never sold on the Service. A valid Lifetime Pass, once activated on your account, provides access to Walter Intelligence and Walter Discovery for as long as Walter operates those offerings, at no recurring charge. Lifetime Passes are non-transferable, are limited to one account, and are subject to these Terms. Partner promotions may include additional terms presented at the time of purchase.

6. Inbox connection

The Service connects only to the newsletter senders you select. We never request or use general access to your inbox, and you can revoke the connection at any time in your settings or through your email provider. Where you connect a Google account, Walter's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements.

7. Your content and our intellectual property

You retain your rights in the materials you authorize us to access. You grant Walter a limited license to access, process, and analyze those materials solely to provide and improve the Service. The Service itself — including our software, scores, grades, methodology, data compilations, trademarks, and site content — is the property of Walter Grades, Inc. or its licensors. You may not scrape, resell, or republish Walter scores or grades without our written permission.

8. Third-party newsletters

Newsletters analyzed by the Service are the property of their respective publishers. Walter analyzes materials that you lawfully receive and authorize. Walter's scores and grades are our own independent analysis, produced under a fixed methodology. No publisher pays to be rated, and no payment of any kind affects any grade.

9. Acceptable use

You agree not to use the Service unlawfully; interfere with or disrupt it; attempt to reverse engineer it; circumvent access controls or usage limits; misrepresent Walter grades or present them as endorsements; or use the Service to build a competing dataset or rating product.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INVESTING INVOLVES RISK, INCLUDING LOSS OF PRINCIPAL. WE DO NOT WARRANT THAT SCORES, GRADES, OR TRACKED OUTCOMES ARE ERROR-FREE OR THAT THE SERVICE WILL BE UNINTERRUPTED.

11. Limitation of liability

To the maximum extent permitted by law, Walter will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or investment losses, arising from or related to the Service. Walter's total liability for all claims will not exceed the greater of $100 or the amounts you paid to Walter in the twelve months before the claim arose.

12. Indemnification

You agree to indemnify and hold Walter harmless from claims arising out of your misuse of the Service or violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms or to protect the Service, with notice where practicable. Sections 7–12 and 15 survive termination.

14. Changes

We may modify the Service and these Terms. If we make material changes to these Terms, we will provide notice (for example, by email or in the Service) before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court. You and Walter each waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@waltergrades.com with your name and account email.

16. Future services

Brokerage and trade-execution services, if and when offered, will be provided by a separate affiliated entity under separate agreements, disclosures, and regulatory requirements. These Terms do not govern any brokerage services.
